Last Updated: October 12, 2026

1. Introduction

Welcome to VerityCodeLabs and VerityPOS.

These Terms and Conditions (“Terms”) govern your access to and use of the VerityCodeLabs website, VerityPOS software, point-of-sale terminals, cloud management portal, and related services (collectively, the “Services”).

VerityCodeLabs (“we,” “us,” or “our”) provides software solutions designed to help businesses manage sales, inventory, branches, reporting, and related business operations.

By accessing our website, requesting a demonstration, creating an account, purchasing a subscription, or using the Services, you agree to these Terms where applicable.

If you do not agree to these Terms, you must not use the Services.

2. Eligibility and Authority

You may use the Services only if you are legally capable of entering into a binding agreement.

If you access or use VerityPOS on behalf of a business or other organization, you represent that you are authorized to accept these Terms on its behalf. In that case, “you” and “your” may refer to that organization.

You are responsible for ensuring that your employees and other authorized users comply with these Terms.

3. Description of Services

VerityPOS is a point-of-sale and business management platform that may include:

Features, usage limits, integrations, device compatibility, and service availability may vary depending on your plan, configuration, and applicable agreement.

We may update or improve the Services over time, subject to applicable law and any contractual commitments.

4. Account Registration and Security

You must provide accurate, current, and complete information when registering for an account or requesting access to the Services.

You are responsible for:

You must not share accounts in a way that compromises security, impersonate another person, or attempt to access accounts or data without authorization.

We may restrict or suspend access where reasonably necessary to protect the Services, users, business data, or system security.

5. Acceptable Use

You agree to use the Services only for lawful business purposes and in accordance with these Terms.

You must not:

We may investigate suspected violations and take reasonable action, including restricting access or terminating an account, subject to applicable law and contractual obligations.

6. Subscriptions, Fees, and Payments

Certain Services may require a paid subscription, license, setup fee, hardware purchase, or other charge.

The applicable fees, billing cycle, included features, payment terms, and any additional charges will be disclosed during purchase or in your order, quotation, subscription agreement, or service contract.

Unless otherwise stated in the applicable agreement:

Refunds, cancellations, renewals, and subscription changes will be governed by the applicable subscription terms, purchase agreement, and mandatory consumer protection laws. Any specific refund policy presented at checkout or in a signed agreement forms part of the applicable terms.

We will not treat a fee as non-refundable where applicable law requires otherwise.

7. Hardware and Third-Party Services

VerityPOS may be used with supported tablets, computers, printers, cash drawers, scanners, network equipment, and other peripherals.

You are responsible for obtaining compatible hardware, maintaining it in working condition, and following the applicable setup and security requirements unless hardware or installation is expressly included in your agreement.

Third-party payment processors, messaging services, hosting providers, hardware manufacturers, and other integrations may be subject to their own terms, fees, and privacy policies.

We are not responsible for third-party products or services beyond obligations imposed by applicable law or expressly accepted in a written agreement.

8. Offline-Capable Operations and Synchronization

VerityPOS may support specified sales and other terminal functions when an internet connection is unavailable.

You acknowledge that:

You must not assume that a transaction or record stored on a terminal has already reached the cloud portal or other branches until its synchronization status confirms this.

You should regularly check synchronization status and promptly address unresolved errors. Where appropriate, maintain independent operational records and backup procedures.

We will use reasonable measures consistent with the applicable service commitments to support the reliability of the Services. However, we do not guarantee uninterrupted operation, error-free synchronization, or the availability of every feature during an outage.

9. Business Data and Customer Responsibilities

Your business may use VerityPOS to process sales, product information, inventory records, employee information, and other operational data (“Business Data”).

As between you and VerityCodeLabs, you retain your rights to your Business Data, subject to applicable law and any third-party rights.

You are responsible for:

You authorize us to host, process, transmit, and store Business Data as reasonably necessary to provide, secure, maintain, and support the Services and as otherwise permitted by your agreement and applicable law.

Our handling of personal information is further described in our Privacy Policy.

10. Tax, BIR, and Regulatory Compliance

You remain responsible for your business’s compliance with applicable laws and regulations, including Philippine Bureau of Internal Revenue (BIR) requirements, tax obligations, invoicing rules, recordkeeping, and other requirements relevant to your operations.

VerityPOS is a software platform and does not replace your legal, accounting, or tax adviser.

Unless we expressly confirm otherwise in a written agreement and the relevant authorization has actually been granted, you must not assume that VerityPOS is BIR-accredited, that a particular feature is approved for regulated use, or that use of the platform automatically satisfies your tax or invoicing obligations.

VerityCodeLabs is working toward the applicable BIR accreditation requirements for VerityPOS. Accreditation has not been granted unless and until we formally announce and can substantiate that status.

You must independently verify whether the Services and your specific configuration are authorized and suitable for your intended regulated use before relying on them for official invoicing or other regulated purposes.

You must configure and use tax settings, discounts, invoice functions, and related features accurately and lawfully. We do not authorize the use of VerityPOS to evade taxes, issue unauthorized documents, or misrepresent a business’s registration or tax status.

11. Data Privacy and Security

We handle personal information in accordance with our Privacy Policy and applicable data protection laws, including the Philippine Data Privacy Act of 2012 (Republic Act No. 10173), where applicable.

You must ensure that you have the necessary legal basis, notices, permissions, and authorizations to submit personal information to the Services.

You must not upload personal information that you are not authorized to process or disclose.

We apply security measures appropriate to the Services and our obligations. However, no software, network, or storage system can be guaranteed to be completely secure.

The parties’ specific data protection obligations may be further defined in a separate data processing agreement or other written agreement.

12. Intellectual Property

VerityCodeLabs and its licensors retain all rights, title, and interest in the Services, including the software, source code, designs, interfaces, branding, documentation, and related intellectual property, except for rights expressly granted to you.

Subject to your compliance with these Terms and any applicable subscription agreement, we grant you a limited, non-exclusive, non-transferable, and revocable right to use the Services for your authorized business purposes during the applicable subscription or license period.

You may not reproduce, distribute, sublicense, sell, lease, or commercially exploit the Services beyond the scope of the rights expressly granted to you.

You retain ownership of your own trademarks, content, and Business Data. You grant us only the rights reasonably necessary to provide the Services and meet our contractual and legal obligations.

Any feedback or suggestions you voluntarily provide may be used by us to improve our products, provided that doing so does not disclose your confidential information or violate applicable law.

13. Service Availability, Maintenance, and Support

We aim to maintain reliable Services but do not guarantee that the website, cloud portal, integrations, or all terminal functions will always be available without interruption.

Service availability may be affected by scheduled maintenance, emergency maintenance, internet connectivity, hosting providers, third-party systems, hardware problems, security incidents, or events outside our reasonable control.

Support hours, response times, implementation services, training, and service-level commitments will be specified in the applicable plan or written agreement, if offered.

Nothing in this section removes any mandatory rights or remedies you may have under applicable law.

14. Suspension and Termination

You may stop using the Services at any time. Cancelling a paid subscription or terminating a contractual relationship must follow the applicable subscription terms or written agreement.

We may suspend or terminate access where reasonably necessary if:

Where reasonably practicable and legally permitted, we will provide notice and an opportunity to remedy the issue before suspension or termination for a remediable breach.

Upon termination, your right to access the applicable Services ends, subject to any surviving rights under your agreement or applicable law.

15. Data Export and Deletion After Termination

Before your subscription ends or your account is terminated, you should export any Business Data you need using available export functions or the procedures specified in your agreement.

Data export formats, availability, fees, and time limits may depend on your plan and the applicable agreement.

After termination, we may retain or delete Business Data in accordance with our Privacy Policy, contractual commitments, backup practices, and applicable legal requirements.

We do not guarantee that all data will remain accessible indefinitely after termination. If you require a specific data export or transition service, arrange it with us in writing before your access ends.

Nothing in this section permits us to disregard mandatory record-retention, privacy, or other legal obligations.

16. Warranties and Disclaimers

To the extent permitted by applicable law and subject to any express written warranty, the Services are provided according to their documented features and applicable service commitments.

We do not warrant that:

You remain responsible for reviewing important business records and confirming the suitability of the Services for your operations.

Nothing in these Terms excludes a warranty, remedy, or liability that cannot lawfully be excluded or limited.

17. Limitation of Liability

To the maximum extent permitted by applicable law, VerityCodeLabs will not be liable for indirect, incidental, special, exemplary, or consequential losses arising from the use of or inability to use the Services, including loss of profits, revenue, or business opportunities.

Subject to applicable law and any express written agreement, VerityCodeLabs will not be responsible for losses caused by circumstances outside its reasonable control, unauthorized account access resulting from your failure to protect credentials, unsupported hardware, third-party services, inaccurate data supplied by you, or your failure to follow documented backup and synchronization procedures.

To the extent legally permitted, our aggregate liability arising from the Services will not exceed the fees paid by you to VerityCodeLabs for the affected Services during the three (3) months immediately preceding the event giving rise to the claim.

This limitation does not apply to liability that cannot legally be excluded or limited, including any liability for which applicable law prohibits such a limitation. It also does not override any different liability allocation expressly agreed in a signed contract.

18. Indemnification

To the extent permitted by law, you agree to be responsible for third-party claims, losses, and reasonable expenses arising directly from your unlawful use of the Services, your material breach of these Terms, or your infringement of another party’s rights.

This provision does not require you to indemnify VerityCodeLabs for losses caused by our own conduct to the extent such an obligation would be unlawful or unenforceable.

Any indemnification obligations in a signed service agreement will also apply according to that agreement.

19. Changes to the Services or These Terms

We may update the Services and these Terms as our products, business practices, or legal obligations evolve.

For material changes, we will provide notice through the website, the platform, email, or another reasonable channel where appropriate and legally required.

Updated Terms will state their effective date. Changes will not retroactively remove rights that cannot lawfully be removed.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance where such acceptance is legally effective. If you do not agree to a material change, you should stop using the affected Services and follow the applicable cancellation or termination procedure.

20. Third-Party Links and Services

The website or Services may contain links to third-party websites or integrate with third-party products.

These links and integrations are provided for convenience or functionality. Unless expressly stated otherwise, VerityCodeLabs does not control third-party services and is not responsible for their content, availability, terms, or privacy practices.

Your use of a third-party service may be governed by a separate agreement between you and that provider.

21. Confidentiality

Each party must take reasonable steps to protect the other party’s non-public information received in connection with the Services and use it only for legitimate purposes related to the relationship.

Confidentiality obligations do not apply to information that is publicly available through no breach, independently developed without use of confidential information, lawfully received from another source, or required to be disclosed by law or a competent authority.

Any additional confidentiality obligations in a signed agreement will take precedence to the extent of any conflict.

22. Force Majeure

Neither party will be responsible for a delay or failure to perform an obligation to the extent caused by an event beyond its reasonable control, such as natural disasters, widespread network or power failures, government action, armed conflict, civil disturbances, or major third-party infrastructure disruptions.

The affected party must take reasonable steps to reduce the impact and resume performance when practicable.

This section does not excuse payment obligations for Services already provided or obligations that applicable law does not permit to be excused.

23. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines, without prejudice to any mandatory legal protections that apply.

The parties will first attempt in good faith to resolve disputes through written communication and reasonable negotiation.

If a dispute cannot be resolved amicably, it may be submitted to a court or other forum with proper jurisdiction under applicable law.

Nothing in this section limits a person’s right to approach a competent regulator or exercise a mandatory legal remedy.

24. General Provisions

Entire agreement. These Terms, together with applicable subscription terms, order forms, service agreements, and policies incorporated by reference, govern your use of the relevant Services.

Separate agreements. If a signed agreement contains terms that conflict with these Terms, the signed agreement will control for the subject matter it specifically addresses, to the extent permitted by law.

Severability. If any provision is found unenforceable, the remaining provisions will continue to apply to the extent legally permitted.

No waiver. Failure to enforce a provision does not waive the right to enforce it later.

Assignment. You may not transfer your rights or obligations under these Terms without our prior written consent, except where applicable law permits otherwise. We may transfer our rights and obligations as part of a lawful business reorganization or transfer, subject to applicable law and contractual commitments.

No partnership. These Terms do not create a partnership, joint venture, employment relationship, or agency relationship between you and VerityCodeLabs.

Language. These Terms are written in English. Any translated version is provided for convenience unless expressly agreed otherwise.
